 note = {Though the university has big influence to our society, we have not understood about the university from the management theory. To understand the university, it is important that we make a 'theory of the university' like as theory of the enterprise. This article tries to construct a 'theory of the university' and to analyze about the university governance. The concepts on governance differ from the authors who discuss about governance. So, we start to examine the concepts on governance, and conceptualize governance. Next, we argue on the university governance. The university consists of the board of trustees, the faculty, the group of students and so on, so called stakeholders. Between these groups, there are conflic on each interes. The university governance is the action to solve these conficts and to coordinate each interests.},
